Incorporation is the first step in starting a company. Once registered, your company becomes a separate legal entity, which means it can own property, sign contracts and borrow money in its own name. We collect the details of the company name, registered office address, directors, shareholders and share capital. We then prepare and file the application for you and check that everything is correct. This helps your company be registered smoothly and without delays. Forms covered: IN01.
IN01 is made under section 9 of the Companies Act 2006 and is used to register a private or public company. It cannot be used to register a limited liability partnership (LL IN01 is used for that), and it must not be used if any individual person with significant control is applying or has applied for protection from having their details disclosed on the public register; a separate form is available from secure@companieshouse.gov.uk. A fee is payable with the form.
The form does not print a filing deadline. The deadlines that follow incorporation are the first accounts (21 months after the company is registered for a private company, per GOV.UK) and the first confirmation statement, which is due within 14 days after the end of the first 12 months from incorporation.
The proposed name must be available and any approval for sensitive words attached. A private company must appoint at least one director who is an individual, and a public company at least two directors, one of them an individual and at least one secretary; a secretary is optional for a private company. Individual directors must have verified their identity under section 1110A of the Companies Act 2006 and the identity verification details must be given.
Part 1 gives the company details: proposed name (A1, checked on the name availability search, duplicate names not permitted), sensitive or restricted words confirmation with a copy of the approval (A2), exemption from the “Limited” or “Cyfyngedig” ending (A3), company type (A4), principal business activity by SIC code (A5), situation of the registered office (A6), registered office address (A7), articles of association option 1, 2 or 3 (A8), restricted articles (A9) and the registered email address (A10, not on the public record). Part 2 lists the proposed officers: secretary (B1, B2), corporate secretary (C1 to C4), directors (D1 to D6, including date of birth, usual residential address and identity verification) and corporate directors (E1 to E4). Part 3 is the statement of capital and initial shareholdings (F1 to F3) and Part 4 the statement of guarantee (G1). Part 5 covers people with significant control (H1, H2 and sections I to K). Parts 6 to 8 are the consent to act, the statement about individual PSC particulars and the lawful purpose statement, and Part 9 is the statement of compliance delivered by the subscribers (P1) or by an agent (P2).
