Confirmation Statement

Confirm your company details every year, on time

Every company must confirm once a year that the information on the public register is correct. This includes details about directors, shareholders, share capital and the company’s business activity. If the statement is filed late or missed, the company can face fines and further action. We review your details, prepare the statement and file it before the deadline. This keeps your company in good standing all year. Forms covered: CS01 (Parts 1 to 6).

CS01 Confirmation Statement (Version 7.0, 02/26)

Purpose

CS01 is the Confirmation Statement made under section 853A of the Companies Act 2006. It confirms that the company has filed up to date, must be filed at least once every year, and must be used to confirm that the director or directors have verified their identity. It cannot be used to tell Companies House of changes to officers, people with significant control (PSC), the registered office address or the single alternative inspection location (SAIL) information; those changes must be filed separately before, or at the same time as, the confirmation statement.

Deadlines

The form must be delivered within 14 days of the confirmation date entered in section 2. A confirmation statement must be filed at least every 12 months, and it can be filed early at any time during the confirmation period, which starts a new period. GOV.UK states that a company can be fined up to £5,000 and may be struck off if it does not file.

Requirements

The company name and number must match the public register and the company information must have been checked. The lawful purpose box must be ticked, the form authenticated and the identity verification details for the director provided. Any relevant changes must be shown on the additional parts or filed on the appropriate form before or at the same time. Part 5 is completed only if necessary.

Filing Process

Section 1 gives the company number and name. Section 2 gives the confirmation date, which should be checked on the Companies House online service. Section 3 is the lawful purpose statement, where the box is ticked to confirm that the intended future activities of the company are lawful. Section 4 is the confirmation statement itself, authenticated by entering a printed name (no signature is needed) by a director, secretary, person authorised, Charity Commission receiver and manager, CIC manager or judicial factor. Any changes are shown on the additional parts: Part 1 SIC codes, Part 2 statement of capital, Part 3 trading status of shares and PSC exemption, Part 4 shareholder information, Part 5 registered email address and Part 6 director identity verification. The presenter information box is optional.

CS01 Part 1 SIC Code Change (Additional information page, Version 7.0, 02/26)

Purpose

This additional information page of the confirmation statement, made under section 853A of the Companies Act 2006, is used only to tell Companies House of any changes to the standard industrial classification (SIC) codes during the confirmation period. It is not sent if none of the SIC codes have changed.

Deadlines

This part must be sent at the same time as the confirmation statement, so it is filed within 14 days after the confirmation date entered in section 2 of the CS01.

Requirements

The part is only completed if one or more SIC codes have changed. It must be sent at the same time as the confirmation statement, and a SIC code (SIC 2007) or a description of the main business must be provided in section A1.

Filing Process

Section A1 lists any new SIC codes in the classification code boxes, up to four codes. If a code cannot be determined, a brief description of the business activity is entered in the principal activity description box. Section A2 lists any SIC codes that no longer apply, again up to four codes. The current SIC codes can be checked on the Companies House website, and the full list of 2007 trade classification codes is on the Companies House guidance pages.

CS01 Part 2 Statement of Capital Change (Additional information page, Version 7.0, 02/26)

Purpose

This additional information page, made under section 853D of the Companies Act 2006, is completed in full if there has been any change to the share capital or prescribed particulars since the last statement of capital was delivered. It is not required for companies without share capital.

Deadlines

This part must be sent at the same time as the confirmation statement, so it is filed within 14 days after the confirmation date entered in section 2 of the CS01.

Requirements

Both sections B1 and B2 must be completed, and the part must be sent at the same time as the confirmation statement. A statement of capital continuation page and a prescribed particulars continuation page are used if more space is needed.

Filing Process

Section B1 shows the issued share capital in currency tables A, B and C, with a separate table for each currency. Each row gives the currency, class of shares, number of shares, aggregate nominal value and, where it applies, the total aggregate amount unpaid including any share premium. Each table has totals, and the grand totals (total number of shares, total aggregate nominal value and total amount unpaid, listed separately by currency) include continuation pages. Section B2 gives the prescribed particulars of rights attached to each class of share: voting rights, dividend rights, capital rights including on winding up, and whether the shares are redeemable. A separate table is used for each class of share.

CS01 Part 3 Trading Status of Shares and PSC Exemption (Additional information page, Version 7.0, 02/26)

Purpose

This additional information page, made under sections 853E and 853H of the Companies Act 2006, tells Companies House the trading status of the company shares and information about any exemption from providing people with significant control (PSC) information. It is used if this is the first time the information is given or if any of it has changed since it was last given.

Deadlines

This part must be sent at the same time as the confirmation statement, so it is filed within 14 days after the confirmation date entered in section 2 of the CS01.

Requirements

The part is not sent if none of the information has changed, and only one box is ticked in section C3. It must be sent at the same time as the confirmation statement. If the company is no longer exempt, the appropriate PSC forms must be completed and returned.

Filing Process

Section C1 asks whether any shares were admitted to trading on a market during the confirmation period: No leads to Part 4 section D1, and Yes leads to section C2. Section C2 asks whether, throughout the period, the company was a traded company and an issuer to which DTR5 applies; both answers lead to section C3. Section C3 asks whether the company is or has ever been exempt from obtaining and providing PSC information. If Yes, one statement is ticked: exempt because voting shares are admitted to trading on a UK regulated market, on an EU regulated market, or on a market listed in Schedule 1 of the PSC Regulations 2016, or the company is no longer exempt (Part 21A). If No, the company goes to Part 4 section D2.

CS01 Part 4 Shareholder Information Change (Additional information page, Version 7.0, 02/26)

Purpose

This additional information page, made under sections 853F and 853G of the Companies Act 2006, tells Companies House of a change to shareholder information since the company last delivered it. It is not required for companies without share capital or for DTR5 companies.

Deadlines

The part is completed only if shareholder information has changed and it must be sent at the same time as the confirmation statement. Continuation pages are used for further shareholders in either section.

Requirements

This part must be sent at the same time as the confirmation statement, so it is filed within 14 days after the confirmation date entered in section 2 of the CS01.

Filing Process

Section D1 is for a non-traded company. The box is ticked to show whether the list of shareholders is enclosed on paper or in another format. Shareholders are listed in alphabetical order, with joint shareholders listed consecutively, showing any information that has changed: shareholder name (address not required), class of share, number of shares held at the confirmation date, number of shares transferred and the date of registration of the transfer. Section D2 is for certain traded companies that are not DTR5 companies. It gives details of any change to information about people who held at least 5% of the issued shares of any class at the end of the confirmation period: name, address, class of share and number of shares.

CS01 Part 5 Registered Email Address (Additional information page, Version 7.0, 02/26)

Purpose

This additional information page, made under section 30(2) of the Economic Crime and Corporate Transparency Act 2023, gives the registered email address of the company. It is used only if the company was incorporated on an application delivered to the registrar before 4 March 2024 and this is the first confirmation statement with a confirmation date after 4 March 2024, or if the company was dissolved before that date and the statement is part of a restoration application. The page is not shown on the public record.

Deadlines

This part must be sent at the same time as the confirmation statement, so it is filed within 14 days after the confirmation date entered in section 2 of the CS01.

Requirements

The part must be sent with the confirmation statement only if the circumstances above apply, and must not be sent otherwise. It must not be used to update an email address that is already registered; form EM01 is used for that. The barcode on the page must not be covered.

Filing Process

Section E1 asks for one registered email address, entered in the email address box. It must be an appropriate email address, meaning one where emails sent by the registrar would, in the ordinary course of events, be expected to come to the attention of a person acting on behalf of the company. Only one email address is given.

CS01 Part 6 Director’s Identity Verification (Additional information page, Version 7.0, 02/26)

Purpose

This additional information page, made under section 12(2A) of the Companies Act 2006, gives the identity verification details for all current directors, unless that information has already been provided. It is not used to give identity verification details of a PSC or of corporate directors. The page is not shown on the public record.

Deadlines

This part must be sent at the same time as the confirmation statement, so it is filed within 14 days after the confirmation date entered in section 2 of the CS01.

Requirements

Details are needed for every current director not already verified. The part must be sent at the same time as the confirmation statement, the Companies House personal code must be given and the barcode must not be covered. A further page is supplied in the form for additional directors.

Filing Process

Section F1 gives the director’s name as it appears on the company record (full forenames and surname) and the date of birth. Section F2 is the identity verification statement, where the box is ticked to confirm that the person appointed as a director has verified their identity in accordance with the Companies Act 2006 (section 1110A), together with the director’s Companies House personal code, which is an 11 character code given after identity has been verified with Companies House. Section F3 asks whether the name matches the verified name; if not, the reason is ticked: legally changed name, preferred name, translation or different naming convention, prefer not to say, or error on the public register (this is non-statutory information).
