Termination Of Directors & Secretaries

Record the end of an appointment quickly and correctly

When a director or secretary leaves a company, the end of their appointment must be recorded on the public register. Companies House expects to be told within 14 days of a change to directors or secretaries. The same service covers the end of appointments for CIC managers, Charity Commission receivers and managers, and judicial factors in Scotland. We prepare and file the right notice for each case. Forms covered: TM01, TM02, TM03.

TM01 Termination of Appointment of Director (Version 7.0, 11/25)

Purpose

TM01 is made under section 167G of the Companies Act 2006 and is used to terminate the appointment of a director, individual or corporate. It cannot be used to terminate the appointment of a secretary; form TM02 is used for that.

Deadlines

The form does not print a deadline. GOV.UK states that Companies House must be told within 14 days of changes to directors or secretaries, which covers a termination.

Requirements

The company name and number must match the public register, the name of the director being terminated must be entered correctly, the date of termination included and the form authenticated. It may be authenticated by a director, secretary, person authorised (under section 270 or 274 of the Companies Act 2006), liquidator, administrator, administrative receiver, receiver, receiver manager, Charity Commission receiver and manager, CIC manager or judicial factor.

Filing Process

Section 1 gives the company number and name. Section 2 gives the director’s current details held on the public Register: month and year of birth (voluntary, but placed on the public record if given and used to identify the correct person), title (optional), full forenames and surname or corporate name. Section 3 gives the date of termination of the appointment; only one director appointment can be terminated per form. Section 4 is the authentication by printed name (no signature is needed).
