LLP Members & Situation Change

Keep your LLP’s members and addresses up to date

An LLP changes over time. New members may join, members’ details may change, and the office or record location may move. Each of these changes must be filed so the public register stays accurate. We handle the appointment of members, updates to member details, and changes to the registered office or where records are kept. This keeps your LLP organised and compliant. Forms covered: LL AP01, AP02, AP03, CH01, CH02, CH03, AD05.

LL AP01 Appointment of Member of an LLP (Version 10.0, 08/26)

Purpose

LL AP01 is made under section 9 of the Limited Liability Partnerships Act 2000 and is used to appoint an individual as a member of an LLP. It cannot be used to appoint a corporate member; form LL AP02 is used for that.

Deadlines

The form does not print a deadline. GOV.UK guidance on the life of an LLP states that Companies House must be told within 14 days of the appointment of a member. For HMRC, a new member who is not already in Self Assessment should register by 5 October after the end of the tax year in which they became a member (for an appointment in the 2026 to 2027 tax year, by 5 October 2027).

Requirements

The LLP name and number must match the public register, and the date of appointment, former names, month and year of birth, designated member indicator and full date of birth must all be completed. Both the service address and the usual residential address are required, and addresses must be physical locations that cannot be a PO Box (unless part of a full service address), DX or LP (Legal Post in Scotland) number.

Filing Process

Section 1 gives the LLP number and name. Section 2 gives the date of the member’s appointment. Section 3 gives the new member’s details: title (optional), forenames, surname, former names used for business purposes in the last 20 years, country or state of residence, month and year of birth, and whether the person is being appointed as a designated member (the designation must match the status of the LLP). Section 4 gives the service address, which appears on the public record and may be stated as the LLP’s registered office. Section A1 (not on the public record) gives the full date of birth, and section A2 the usual residential address, which may be stated as the same as the service address unless the service address is the registered office. Section A3 is ticked only if a section 243 exemption has been applied for or granted. Section A4 is the identity verification statement, confirming the person has verified their identity under section 1110A of the Companies Act 2006, with the 11 character Companies House personal code. Section A5 gives the reason if the name provided does not match the verified name (not statutory information). Section 5 is the LLP’s confirmation of consent to act, section 6 the authentication by printed name and section 7 additional former names.

LL AP02 Appointment of Corporate Member of an LLP (Version 7.0, 11/24)

Purpose

LL AP02 is made under section 167G of the Companies Act 2006 as applied to limited liability partnerships and is used to appoint a corporate body or firm as a member of an LLP. It cannot be used to appoint an individual; form LL AP01 is used for that.

Deadlines

The form does not print a deadline. GOV.UK guidance on the life of an LLP states that Companies House must be told within 14 days of the appointment of a member, which includes a corporate member.

Requirements

The LLP name and number must match the public record, the date of appointment must be completed and the corporate member’s address entered. The principal office address must be a physical location for the delivery of documents and cannot be a PO Box (unless part of a full address), DX or Legal Post number in Scotland. Either section 5 or section 6 must be completed, and where details of a register are given its registration number must also be given.

Filing Process

Section 1 gives the LLP number and name. Section 2 gives the date of the corporate member’s appointment. Section 3 gives the corporate body or firm name and its principal office address, which appears on the public record. Section 4 asks whether the corporate member is being appointed as a designated member (the designation must match the status of the LLP) and whether it is a limited company registered in the UK. If Yes, section 5 gives the company registration number; if No, section 6 gives the legal form of the corporate body or firm, the governing law and, if applicable, the register where it is entered (including the state) and its registration number. Section 7 is the LLP’s confirmation of consent to act as corporate member and section 8 the authentication by printed name.

LL AP03 Appointment of Judicial Factor (Scotland) to an LLP (Version 5.0, 03/26)

Purpose

LL AP03 is made under section 1154 of the Companies Act 2006 as applied to limited liability partnerships and is used to appoint a judicial factor (Scotland) to an LLP. It cannot be used to terminate the appointment of a judicial factor; form LL TM02 is used for that.

Deadlines

The form does not print a deadline, and the GOV.UK guidance reviewed does not give a specific one for this appointment. It should be filed promptly after the appointment.

Requirements

The LLP name and number must match the public register, the judicial factor’s name must be entered correctly in section 2 and the service address provided in section 3. The address must be a physical location and cannot be a PO Box (unless part of a full address), DX or LP (Legal Post in Scotland) number. The form must carry the judicial factor’s authorising signature.

Filing Process

Section 1 gives the LLP number and name. Section 2 gives the name of the appointed judicial factor: title (optional), forenames and surname or corporate name. Section 3 gives the judicial factor’s service address, which appears on the public record and does not have to be the usual residential address. Section 4 is the signature, which must be given by the judicial factor.

LL CH01 Change of Details of a Member of an LLP (Version 8.0, 11/25)

Purpose

LL CH01 is made under sections 167H and 167J of the Companies Act 2006 as applied to limited liability partnerships and is used to change the details of an individual who is a member of an LLP. It cannot be used to change the details of a corporate member; form LL CH02 is used for that.

Deadlines

The form does not print a deadline. GOV.UK guidance on the life of an LLP states that Companies House must be told within 14 days of a change to a member’s details. A change not yet notified must also be filed before, or with, the next confirmation statement.

Requirements

The LLP name and number must match the public register and the date of change must be entered in section 3. If the service address has changed, either the no change box in section 5 must be ticked or the new usual residential address given in section 5a. Consent in section 7 must be ticked if the member’s status has changed, and a designated member or judicial factor must authenticate the form.

Filing Process

Section 1 gives the LLP number and name. Section 2 gives the member’s current details on the register (month and year of birth, title, forenames and surname), which are used to identify the member; the month and year of birth is voluntary and, if given, is placed on the public record. Section 3 gives the date of the change. Only the sections for the details that have changed are then completed: section 4 the new name, section 5 a new service address (with a box to confirm there has been no change in the member’s residential address), section 5a (not on the public record) a new usual residential address, section 6 a change of country or state of residence, and section 7 a change of status, where one box is ticked to show the person consents to act as a designated member or as a member. Section 8 is the authentication by printed name.

Purpose

LL CH02 is made under sections 167H and 167K of the Companies Act 2006 as applied to limited liability partnerships and is used to change the details of a corporate member of an LLP. It cannot be used to change the details of an individual member; form LL CH01 is used for that.

Deadlines

The form does not print a deadline. GOV.UK guidance on the life of an LLP states that Companies House must be told within 14 days of a change to a member’s details. A change not yet notified must also be filed before, or with, the next confirmation statement.

Requirements

The LLP name and number must match the public record, the date of change must be entered in section 3 and the relevant change of details completed. A new principal office address must be a physical location and cannot be a PO Box (unless part of a full address), DX or LP (Legal Post in Scotland) number. Where details of a register are given, its number must also be given.

Filing Process

Section 1 gives the LLP number and name. Section 2 gives the corporate body or firm name as currently on the register, which is used to identify its details. Section 3 gives the date of the change. Only the sections for the details that have changed are then completed: section 4 the new corporate body or firm name, section 5 a new principal office address, section 6 a change of status (one box ticked to show consent to act as a designated member or as a member) and section 7 any change to the legal form, the governing law and, if applicable, the register where the body is registered (including the state) and its new registration number. Section 8 is the authentication by printed name.

LL CH03 Change of Service Address of a Judicial Factor (Scotland) of an LLP (Version 5.0, 03/26)

Purpose

LL CH03 is made under section 1154 of the Companies Act 2006 as applied to limited liability partnerships and is used to change the service address of a judicial factor (Scotland) of an LLP. It cannot be used to change any other details of an LLP.

Deadlines

Requirements

The LLP name and number must match the public register, the judicial factor’s name must be given in section 2 and the change of service address entered in section 3. The address must be a physical location and cannot be a PO Box (unless part of a full address), DX or LP (Legal Post in Scotland) number. Filing Process

Section 4 is the signature, which must be given by the judicial factor.

LL AD05 Notice to Change the Situation of an England and Wales Limited Liability Partnership or a Welsh Limited Liability Partnership (Version 3.0, 04/15)

Purpose

LL AD05 is used to change the situation of the registered office of an LLP registered in England and Wales to Wales, or for an LLP registered in Wales to England and Wales. It is not the form for changing the registered office address itself; LL AD01 is used for that.

Deadlines

The form itself does not state a separate fixed filing deadline. Deliver the notice promptly following the LLP's determination. Do not treat the ordinary 14-day registered-office address-change rule as an automatic LL AD05 deadline.

Requirements

The LLP name and number must match the public register. The correct situation option must be selected and the form must be signed. Companies House states that LL AD05 is specifically for changing the registered-office situation between England and Wales and Wales.

Filing Process

Enter the LLP number and name, select the applicable situation of the registered office, complete the form and sign it for delivery to Companies House. If the actual registered office address is changing, use LL AD01 instead.
