When a member leaves an LLP, the end of their membership must be recorded on the public register. This applies to individual members as well as corporate members. Keeping this up to date makes sure the public record shows who is really part of the LLP. We prepare and file the termination notices for you. Forms covered: LL TM01, LL TM02.
LL TM01 is made under section 167G of the Companies Act 2006 as applied to limited liability partnerships and is used to terminate the appointment of a member, individual or corporate, of an LLP. It cannot be used to terminate the appointment of a director of a company; form TM01 is used for that.
The form does not print a deadline. GOV.UK guidance on the life of an LLP states that Companies House must be told within 14 days of a member’s appointment ending.
The LLP name and number must match the public register, the name of the member being terminated must be entered correctly, the date of termination included and the form authenticated by a designated member or judicial factor.
Section 1 gives the LLP number and name. Section 2 gives the member’s current appointment details held on the public Register: month and year of birth (voluntary, but placed on the public record if given and used to identify the correct person), title (optional), forenames and surname or corporate name. Section 3 gives the date of termination of the appointment; only one member appointment can be terminated per form. Section 4 is the authentication by printed name (no signature is needed) on behalf of the LLP.
LL TM02 is made under section 1154 of the Companies Act 2006 as applied to limited liability partnerships and is used to terminate the appointment of a judicial factor (Scotland) of an LLP. It cannot be used to appoint a judicial factor; form LL AP03 is used for that.
The form does not print a deadline, and the GOV.UK guidance reviewed does not give a specific one for this termination. It should be filed promptly after the appointment ends.
The LLP name and number must match the public register, the name of the judicial factor whose appointment is being terminated must be entered correctly and the form authenticated.
Section 1 gives the LLP number and name. Section 2 gives the full name of the judicial factor whose appointment is being terminated: title (optional), forenames and surname or corporate name. Section 3 is the authentication by printed name (no signature is needed) on behalf of the LLP, and the form states that it must be signed by the judicial factor.
