A person with significant control, or PSC, is someone who owns or controls a company in a major way, for example through shares or voting rights. The law requires companies to identify these people and record their details on the register. When their details change or their control ends, the record must be updated. We help you identify your PSCs and file all the required notices. Forms covered: PSC01 to PSC09.
PSC01 is made under section 790LA of the Companies Act 2006 and is used to give notice of an individual person with significant control (PSC) over a company. It cannot be used for a relevant legal entity (RLE), for which PSC02 is used, or an other registrable person (ORP), for which PSC03 is used. It must not be used if any individual PSC is applying or has applied for protection from having their details disclosed on the public register; the correct form is available from secureforms@companieshouse.gov.uk. The form can also carry the identity verification details of the PSC, and it can be filed online.
The form does not print a filing deadline.
The company name and number must match the public register, the date the individual became a registrable person must be completed, the individual’s details completed, and the nature of control shown. Addresses must be a physical location and cannot be a PO Box number (unless part of a full service address), DX or LP (Legal Post in Scotland) number. The company must have obtained confirmation from the individual that their particulars are correct before sending the form, the confirmation of the person’s status and required particulars must be given and the form authenticated.
Section 1 gives the company number and name. Section 2 gives the date the individual became a registrable person, which cannot be before 6 April 2016. Section 3 gives the individual’s details: title (optional), full forenames, surname, country or state of residence (in respect of the usual residential address in section A2), nationality and month and year of birth only. Section 4 gives the individual’s service address, which appears on the public record, does not have to be the residential address, and if the residential address is used it will appear on the public record. Page A1 (not shown on the public record) gives the full date of birth. A2 gives the usual residential address, where ‘Same as service address’ may be stated unless the service address in section 4 is ‘The Company’s Registered Office’, in which case the address must be given in full. A3 is the section 790ZF box, ticked only if the individual is applying for, or has been granted, exemption from disclosing the usual residential address to credit reference agencies. A4 is optional identity verification: a box ticked to confirm that the person has verified their identity in accordance with the Companies Act 2006 (section 1110A) and the 11-character Companies House personal code. A5 asks, where the name given does not match the verified name, for the reason: legally changed name, preferred name, translation or a different naming convention, or prefer not to say (not statutory information). Section 5 gives the nature of control for an individual. The nature of control is shown by ticking each statement that applies: ownership of shares and ownership of voting rights (tick only one band for each: more than 25% but not more than 50%, more than 50% but less than 75%, or 75% or more), the right to appoint or remove a majority of the board of directors, and, only if none of those apply, the right to exercise or actually exercise significant influence or control over the company. Section 6 covers control through a firm that is not a legal person, and section 7 control through a trust, each with the same shares, voting rights, board and influence statements. Section 8 gives the date the company had confirmation of the person’s status as a PSC and of all their required particulars (the later date). Section 9 is the authentication by printed name (no signature is needed), given by a director, secretary, person authorised (under section 270 or 274 of the Companies Act 2006), administrator, administrative receiver, receiver, receiver manager, Charity Commission receiver and manager, CIC manager or judicial factor (for a United Kingdom Societas, ‘director’ is deleted and the organ of the UKS of which the person authenticating is a member is inserted).
PSC02 is made under section 790LA of the Companies Act 2006 and is used to give notice of a relevant legal entity (RLE) with significant control over a company. It cannot be used for an individual PSC, for which PSC01 is used, or an other registrable person (ORP), for which PSC03 is used. The form can be filed online.
The form does not print a filing deadline.

Section 5 gives the nature of control for the RLE. Section 6 covers control through a firm that is not a legal person and section 7 control through a trust. Section 8 gives the date the company had confirmation of the RLE’s status as a PSC and of all its required particulars (the later date). PSC03 is made under section 790LA of the Companies Act 2006 and is used to give notice of an other registrable person (ORP) with significant control over a company. Section 4 gives the date of the statement, section 5 is signed on behalf of the parent undertaking and section 6 is signed by a director of the subsidiary company.
PSC04 is made under section 790LD of the Companies Act 2006 and is used to give notice of a change to the details of an individual who is a person with significant control (PSC).
